Terms of Service.

1. Acceptance of Terms

By creating an account or using ViralGen (the "Service"), operated by Viralgen LLC, 8 The Green, Dover, Delaware 19901, USA ("ViralGen", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of a team or organization, you represent that you are authorized to bind that entity to these Terms.

2. Description of Service

ViralGen is a content-intelligence platform for creator teams. It provides tools to discover trending short-form content, generate AI images and videos featuring creator personas, add AI voice-overs and captions (including Greek), run policy and safety checks, organize content through a production pipeline, schedule posts on a weekly calendar, and deliver finished clips to your device or Google Drive. Publishing to social platforms is performed by you: for example, using the optional iPhone Shortcut or by downloading your files. The Service does not automatically post content on your behalf.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service, which is intended for professional and business use. By using the Service you represent that you meet this requirement.

4. Accounts and Security

You may register using an email address and password (confirmed with a one-time code) or a supported third-party sign-in option. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or restrict accounts that are banned for policy violations, suspected fraud, or non-payment.

5. Acceptable Use

You agree not to use the Service to create, upload, distribute, or publish content that:

• is unlawful, infringing, defamatory, harassing, hateful, or that sexually exploits or endangers minors;
• impersonates a real person without authorization, or misappropriates a person's name, image, likeness, or voice;
• violates the terms, policies, or rate limits of any third-party platform (including Instagram and TikTok); or
• attempts to disrupt, reverse-engineer, scrape, or gain unauthorized access to the Service or the providers that power it.

You are solely responsible for the content you create, schedule, and publish through the Service, and for ensuring it complies with all applicable laws and platform rules.

6. Creator Personas, Likeness, and Voice

The Service lets you create "creators" (personas) using reference images and, optionally, cloned voices. You represent and warrant that you own or have obtained all rights, consents, and permissions necessary to use any face, likeness, image, or voice you upload or generate, and that doing so does not violate any person's rights or any law. You are responsible for obtaining and retaining appropriate consent. The Service records a timestamp when you confirm such consent in the product, but you remain solely responsible for the validity of that consent.

7. AI-Generated Content

The Service uses third-party AI models to generate images, videos, voices, captions, and other outputs. AI outputs may be inaccurate, may not be unique, and may resemble other content. You are responsible for reviewing outputs before use. The policy and safety checks offered in the product are aids to help you, not guarantees of compliance with any platform's rules or with any law.

8. Plans, Credits, and Billing

• No free tier. Access to generation features requires an active paid plan or a positive credit balance. The Service does not include a free tier or a free monthly video allowance.
• Plans. Plans (Starter, Professional, and Agency) are billed in euro (EUR), on a monthly or annual basis, and are charged immediately upon subscription. There is no free trial. Current prices and inclusions are shown on our pricing page and in the product.
• Credits. Most actions consume credits: for example, content discovery, image generation, video generation (billed per second of output), policy scans, and voice features. Credit rates are shown in the product and may change.
• Included credits. Included credits are added to your balance and accumulate; they do not expire by the passage of time. Included credits are provided as a starting balance and are not automatically replenished each billing period unless expressly stated in the product.
• Top-ups. While you hold an active subscription, you may purchase additional prepaid credits ("top-ups"), priced per credit as shown at checkout and processed as one-time payments.
• Consumption and refunds. Credits are consumed as you use the Service and are not refundable once consumed. As an exception, if a generation fails, the associated credits are automatically returned to your balance.
• Payment processing. Payments are processed by Stripe. You authorize us and Stripe to charge your selected payment method for your plan and any purchases. We may change pricing with reasonable notice.

9. Cancellation, Non-Payment, and Credit Forfeiture

• Voluntary cancellation. You may cancel at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period; until then you keep access and any remaining credits, and you may resume before the period ends.
• Non-payment, chargeback, or involuntary termination. If a subscription payment fails, or in the event of a chargeback or involuntary termination for breach, your plan and any remaining credit balance may be revoked immediately.
• No cash value. Credits have no cash value and are non-transferable.

10. Referrals and Promotions

We may offer referral rewards, promotional credits, or discount codes subject to additional rules and anti-abuse limits. We may withhold, reduce, or revoke rewards obtained through fraud or abuse.

11. Intellectual Property

The Service (including its software, design, trademarks, and content, but excluding your content and the AI outputs you generate) is owned by Viralgen LLC and protected by applicable intellectual-property laws. Subject to your compliance with these Terms, the terms of the underlying AI model providers, and the operational license below, the content you generate through the Service belongs to you.

12. License to Operate and Improve the Service

To operate the Service, you grant us a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and display the content you submit or generate through the platform, solely to provide and maintain the Service, ensure security and prevent abuse, and comply with law.

You also grant us permission to use prompts, outputs, feedback, and usage metadata in aggregated or de-identified form to analyze performance, develop features, evaluate quality and safety, and improve the Service. This license survives termination only to the extent needed for backups, legal compliance, and legitimate internal analytics that no longer identify you.

13. Third-Party Services and Bring-Your-Own-Key (BYOK)

The Service relies on third-party providers, including AI model, media, payment, email, storage, analytics, and social-data providers. Your use of features that depend on them may be subject to those providers' terms. On certain plans you may supply your own third-party provider API keys ("BYOK"); you are responsible for those keys, for the costs they incur, and for compliance with the applicable provider's terms.

14. Suspension and Termination

We may suspend or terminate your access at any time for violation of these Terms, non-payment, suspected fraud or abuse, or as required by law. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty regarding AI outputs, specific results, uninterrupted access, or error-free operation.

16. Limitation of Liability

To the maximum extent permitted by law, Viralgen LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for any claim will not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless Viralgen LLC and its affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including rights of publicity, likeness, voice, and platform-policy rights.

18. Changes to the Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.
